Article11Membersperformthefollowingobligations:
(1)Implementtheresolutionsoftheassociation;
(2)safeguardthelegalrightsandinterestsoftheassociation;

(5)Reportthesituationtotheassociationandproviderelevantinformation.
Article12Memberswhowithdrawfromthemembershipshouldnotifytheassociationinwritingandreturnthemembershipcertificate.Ifamemberdoesnotpayduesforayearordoesnotparticipateintheactivitiesoftheassociationwithoutspecialreasons,itwillbedeemedtohavewithdrawnautomaticallyandtheassociationwillwithdrawthemembershipcertificate.Thesecretariatisresponsibleforthemembershipmanagementofmembers.
Article13Ifamembercommitsaseriousviolationofthisconstitution,itshallbedelistedandthemembershipcertificateshallbewithdrawnbytheboardofdirectorsorthestandingboardofdirectors.
Chapter4OrganizationandResponsiblePersonsFormationandRemoval
Article14Thehighestauthorityoftheassociationisthememberrepresentativeassembly.
Thepowersofthememberrepresentativeassemblyare:
(1)Formulateandmodifythearticlesofassociation;
(2)Electionandremovalmatters;
(3)Reviewtheworkreportandfinancialreportoftheboardofdirectors;
(4)Decideonterminationmatters;
(5)Decideonmajorissuesraisedbythechairmanforconsideration;
>(6)Decideotherimportantmatters.
Article15Thememberrepresentativeassemblymusthavemorethantwo-thirdsofthememberrepresentativespresentbeforeitcanbeconvened,anditsresolutionmustbepassedbymorethanhalfofthememberrepresentativestotakeeffect.
Article16Everyfiveyearsofthemembershipcongress,ifitisnecessarytoadvanceorpostponethere-electionduetospecialcircumstances,itmustbeapprovedbytheboardofdirectorsandsubmittedtotheGeneralAdministrationofQualitySupervision,InspectionandQuarantineforreviewandapprovalbytheMinistryofCivilAffairs..However,therenewalofthepostponementshallnotexceedoneyearatmost.
Article17Theboardofdirectorsistheexecutivebodyofthemembercongress,whichleadstheassociationtocarryoutdailyworkduringtheintersessionalperiodandisresponsibletothemembercongress.Themembersoftheboardofdirectorsareelectedbythememberrepresentativeassembly.
Article18Thepowersoftheboardofdirectorsare:

Article19Theboardofdirectorsmusthavemorethantwo-thirdsofthedirectorspresentbeforeitcanbeconvened,anditsresolutionsmustbepassedbymorethantwo-thirdsofthedirectorsbeforeitcantakeeffect.
Article20Theboardofdirectorsshallconveneatleastonceayear.Inspecialcircumstances,itmayalsobeconvenedbymeansofcommunication.
Article21Theassociationestablishesastandingcouncil.Thestandingcounciliselectedbythecouncilandexercisesthefirst,third,fifth,sixth,seventh,eighteentharticlewhenthecouncilisnotinsession.,Ninefunctions,responsibletotheboardofdirectors(thenumberofexecutivedirectorsdoesnotexceedone-thirdofthenumberofdirectors).
Article22TheStandingCouncilmusthavemorethantwo-thirdsofthestandingdirectorspresentbeforeitcanbeconvened,anditsresolutionsmustbepassedbymorethantwo-thirdsofthestandingdirectorstotakeeffect.
Article23TheStandingCouncilshallconveneameetingatleastonceeverysixmonths.Inspecialcircumstances,itcanalsobeconvenedbymeansofcommunication.
Article24Thechairman,vice-chairman,andsecretary-generalofthisassociationmustmeetthefollowingrequirements:
(1)Adheretotheparty’sline,principles,andpolicies,andhavegoodpoliticalquality;
(2)Haveagreaterinfluenceinthebusinessareaofthegroup;
(3)Themaximumageofthechairmananddeputydirectorsshallnotexceed70yearsold,thesecretary-generalThemaximumageofstaffofandbelowisnotmorethansixty-fiveyearsold,andthosewhoarelessthanonetermwillnolongerbenominatedascandidates.Thesecretary-generalisfull-time;
(4)Behealthyandabletoworknormally;
(5)Havenotreceivedcriminalpenaltiesfordeprivationofpoliticalrights;
(6)Abilitytocompletecivilconduct;
(7)RecommendedbytheGeneralAdministrationofQualitySupervision,InspectionandQuarantineofthePeople’sRepublicofChina.
Article25.Ifthechairman,vice-chairman,andsecretary-generaloftheassociationexceedtheprescribedage,theymustbeapprovedbytheboardofdirectorsandsubmittedtotheGeneralAdministrationofQualitySupervision,InspectionandQuarantineforreviewandapprovalbytheMinistryofCivilAffairs.Onlyafteragreeingtotakeupthepost.
Article26Thetermofofficeofthechairman,deputydirectors,andsecretary-generaloftheAssociationisfiveyears(thetermofofficeofthedirectors,deputydirectors,andsecretary-generalgenerallydoesnotexceedtwoterms).Ifthetermofofficeneedstobeextendedduetospecialcircumstances,itmustbeapprovedbymorethantwo-thirdsofthememberrepresentativesatthememberrepresentativeassembly,andsubmittedtotheGeneralAdministrationofQualitySupervision,InspectionandQuarantineforexaminationandapprovalbytheMinistryofCivilAffairs.
Article27TheSecretary-GeneraloftheAssociationisthelegalrepresentativeoftheAssociation.Thelegalrepresentativeofthisassociationdoesnotconcurrentlyserveasthelegalrepresentativeofothergroups.
Article28ThechairmanoftheAssociationshallexercisethefollowingpowers:
(1)Conveneandpresideovertheboardofdirectors,thestandingcouncil;
(2)Checktheimplementationoftheresolutionsofthememberrepresentativeassemblycouncilorthestandingcouncil;
(3)nominatecandidatesforthesecretary-general;
(4)approvethesixthitemofArticle18,Submittheworkreportofthechairmanoftheboard;
(5)Researchandsolvetheimportantissuesraisedbythesecretariatthatrequiretimelydecision-making.
Article29TheSecretaryGeneraloftheAssociationshallexercisethefollowingpowers:
(1)Presideoverthedailyworkoftheassociation’sofficeandorganizetheimplementationoftheannualworkplan;
(2)Coordinatingtheworkofvariousdepartments,professionalcommittees,representativeoffices,andentities,andreviewingandsubmittingworkreportstothechairman;
(3)Nominatingdeputysecretary-generalsandvariousdepartments,professionalcommittees,ThemainpersonsinchargeofrepresentativeofficesandentitiesshallbesubmittedtotheStandingCouncilfordecision;
(4)Decideontheemploymentoffull-timestaffofvariousdepartments,professionalcommittees,andentities;
(5))Signrelevantdocumentsonbehalfoftheassociation;
(6)Presideovertheassociation’sfinancialandfinalaccountwork,reviewtheannualfinancialplansandimplementationofvariousprofessionalcommitteesandentities;
(7)IntheexecutiveUndertheleadershipoftheboardofdirectorsandthechairmanoftheboard,theypresideovertheoverallworkofthesecretariat.
Chapter5AssetManagement,PrinciplesofUse
Article30ThesourceoffundingfortheAssociation:
(—)Membershipfees;
(2)Donation;
(3)Governmentfunding;
(4)Incomefromactivitiesorservicescarriedoutwithintheapprovedbusinessscope;

(6)Managementfeespaidbyvariousprofessionalcommitteesandentities;
(7)Otherlegalincome.
Article31Theassociationcollectsmembershipduesinaccordancewithrelevantnationalregulations.
Article32ThefundsoftheAssociationmustbeusedforthebusinessscopeanddevelopmentofthebusinessasstipulatedinthisArticlesofAssociation,andmaynotbedistributedamongmembers.
Article33Theassociationestablishesastrictfinancialmanagementsystemtoensurethataccountinginformationislegal,true,accurateandcomplete.
Article34Theassociationisequippedwithprofessionallyqualifiedaccountingpersonnel.Theaccountantdoesnotserveasthecashier.Accountantsmustconductaccountingcalculationsandimplementaccountingsupervision.Whenanaccountantistransferredorresigned,hemustcompletethehandoverprocedureswiththereceiver.
Article35TheassetmanagementoftheAssociationmustimplementthefinancialmanagementsystemprescribedbythestate,andacceptthesupervisionofthememberrepresentativeassemblyandthefinancialdepartment.Ifthesourceofassetsisstateappropriationorsocialdonationorsubsidy,itmustacceptthesupervisionoftheauditingagencyanddisclosetherelevantinformationtothepublicinanappropriatemanner.
Article36TheassociationmustacceptthefinancialauditorganizedbytheMinistryofCivilAffairsandtheGeneralAdministrationofQualitySupervision,InspectionandQuarantinebeforechangingthetermorchangingthelegalrepresentative.
Article37Theassetsofthisassociationshallnotbeembezzled,privatelydividedormisappropriatedbyanyunitorindividual.
Article38Thesalary,insurance,andwelfarebenefitsofthefull-timestaffoftheAssociationshallbeimplementedinaccordancewiththerelevantstateregulationsonpublicinstitutions.
ChapterVIProceduresforAmendingtheArticlesofAssociation
Article39AmendmentstotheAssociation’sArticlesofAssociationshallbeapprovedbytheboardofdirectorsandsubmittedtothememberrepresentativeassembly.Deliberate.
Article40TherevisedconstitutionoftheassociationmustbeapprovedbytheGeneralAdministrationofQualitySupervision,InspectionandQuarantinewithin15daysafterthememberrepresentativeassemblyispassed,anditwilltakeeffectafterbeingapprovedbytheMinistryofCivilAffairs.
ChapterSevenTerminationProceduresandPropertyDisposalAfterTermination
Article41TheAssociationfulfillsitspurposeordissolvesitselforisduetodivision,merger,etc.Ifthecancellationisrequiredforreasons,theboardofdirectorsorthestandingboardofdirectorsshallproposeamotionfortermination.
Article42ThemotiontoterminatetheassociationmustbeapprovedbythememberrepresentativeassemblyandsubmittedtotheGeneralAdministrationofQualitySupervision,InspectionandQuarantineforreviewandapproval.
Article43Priortotheterminationofthisassociation,aliquidationorganizationmustbeestablishedundertheguidanceoftheGeneralAdministrationofQualitySupervision,InspectionandQuarantineoftheStateAdministrationofQualitySupervision,InspectionandQuarantineandrelevantagenciestocleanupclaimsanddebtsanddealwiththeaftermath.Duringtheliquidation,nottocarryoutactivitiesotherthanliquidation.
Article44TheassociationshallterminateafterthecancellationofregistrationbytheMinistryofCivilAffairs.
Article45TheremainingpropertyaftertheterminationoftheAssociation,underthesupervisionoftheGeneralAdministrationofQualitySupervision,InspectionandQuarantineofthePeople'sRepublicofChinaandtheMinistryofCivilAffairs,willbeusedtodevelopbusinessesrelatedtothepurposeoftheAssociationinaccordancewithrelevantnationalregulations.
ChapterVIIISupplementaryProvisions
Article46ThisArticlesofAssociationwasvotedandapprovedbytheSecondMemberCongressonMay31,2002.
Article47Therighttointerpretthisconstitutionbelongstotheboardofdirectorsoftheassociation.
Article48ThisArticlesofAssociationshalltakeeffectfromthedateofapprovalbytheorganizationregistrationmanagementauthority.
